Bylaws
Article I — Name
The name of this organization shall be The Common & Recent Bogey Golf Club (the “Club”), which may also be referred to as the “C&RBGC” or the “C&R.”
Article II — Object
The Object of the Club shall be to promote the ancient art of taking a pleasant walk on agreeable lawns in the company of friends, occasionally interrupted by the striking of small white balls toward distant holes.
Article III — Members
Section 1. Classes. The Club shall have two classes of members: Charter Members and Members. Each is a “Member” for purposes of these Bylaws.
Section 2. Charter Members. The Charter Members of the Club are Mark Ayers and Dean Chase, who founded the Club circa 2000. Charter membership is for life and may not be revoked.
Section 3. Admission of Members. A person may be admitted as a Member only upon the unanimous affirmative vote of all then-living Charter Members.
Section 4. Member in Good Standing. A Member is a “Member in Good Standing” if such Member (a) has not resigned, (b) has not been expelled under Section 6, and (c) is current in any dues established by Standing Rule.
Section 5. Resignation. A Member may resign by written notice to the Secretary-Treasurer. Resignation is effective upon receipt.
Section 6. Discipline. A Member other than a Charter Member may be suspended or expelled for conduct prejudicial to the Object of the Club upon the affirmative vote of two-thirds of the Members in Good Standing, following written notice of the charges and an opportunity to be heard.
Section 7. Dues. Dues, if any, shall be established and altered by Standing Rule. No dues are required as of the date of these Bylaws.
Article IV — Officers
Section 1. Officers. The officers of the Club shall be a Captain and a Secretary-Treasurer.
Section 2. Qualifications. Each officer shall be a Member in Good Standing.
Section 3. Election and Term. Officers shall be elected annually at the Annual Meeting and shall serve until their successors are elected. There shall be no limit on the number of terms an officer may serve.
Section 4. Duties of the Captain. The Captain shall preside at all meetings of the Club, shall be the official spokesperson of the Club, and shall perform such other duties as are customary to the office.
Section 5. Duties of the Secretary-Treasurer. The Secretary-Treasurer shall keep the minutes of all meetings, maintain the roll of Members, have custody of the records and funds of the Club, and render an accounting of funds at each Annual Meeting.
Section 6. Vacancies. A vacancy in any office shall be filled for the unexpired term by election at the next meeting.
Section 7. Removal. An officer may be removed from office, with or without cause, by the vote required for amendment of these Bylaws.
Article V — Meetings
Section 1. Annual Meeting. The Club shall hold one regular meeting in each calendar year, designated the Annual Meeting, at such time and place as the Captain may determine, on not less than fourteen (14) days’ written notice to all Members.
Section 2. Special Meetings. Special meetings may be called by the Captain or upon the written request of any Member, on not less than seven (7) days’ written notice stating the purpose of the meeting. No business other than that stated in the notice may be transacted at a special meeting.
Section 3. Electronic Participation. Members may participate in any meeting by telephone, video conference, or other means by which all participating Members may concurrently hear one another, and such participation shall constitute presence in person at the meeting.
Section 4. Quorum. A quorum for the transaction of business shall consist of all Charter Members then living. No business may be transacted in the absence of a quorum.
Article VI — Parliamentary Authority
The rules contained in the current edition of Robert’s Rules of Order Newly Revised shall govern the Club in all cases to which they are applicable and in which they are not inconsistent with these Bylaws or any Standing Rules the Club may adopt.
Article VII — Standing Rules
Section 1. Authority. The Club may adopt Standing Rules to govern the conduct of play, course etiquette, scoring, dues, and other administrative and operational matters. The Club’s Standing Rules are maintained in the document titled Standing Rules.
Section 2. Adoption and Amendment. Standing Rules may be adopted, amended, or rescinded by a majority vote of the Members in Good Standing at any meeting.
Section 3. Limitation. No Standing Rule may conflict with these Bylaws. In any conflict, these Bylaws shall control.
Article VIII — Amendment of Bylaws
Section 1. Notice. Any proposed amendment to these Bylaws shall be submitted in writing to all Members not less than thirty (30) days before the meeting at which it is to be considered. The notice shall identify the article and section affected and shall set forth both the current text and the proposed text.
Section 2. Vote Required. An amendment shall be adopted upon the affirmative vote of two-thirds of all Members in Good Standing.
Section 3. Scope of Amendment. No amendment offered from the floor may exceed the scope of the notice given under Section 1.
Section 4. Record. The vote on any proposed amendment shall be recorded in the minutes by the name of each Member voting and the manner of the vote.
Adoption
These Bylaws were adopted by the Charter Members on May 25, 2026, and supersede all prior bylaws of the Club.
